CODE OF CONDUCT

THE CODE

The Company Code of Conduct (the “Code”) is designed to promote Toyota Bacoor Cavite, Inc. (“TBR”/the “Company”)’s compliance with laws and ethical standards applicable in all jurisdictions in which the Company, its subsidiaries and affiliates conduct business.

 

The Code is applicable to all directors, officers and employees of the Company.

It forms an integral part of the employment contract of an employee.

 

It is the responsibility of all members of the Board of Directors, officers, and employees of the Company to comply with the Code. Each employee shall be given a copy of the Code upon employment. Copies of the Code are also available from your respective Responsible Manager as well as the Human Resources Department Manager. A soft copy of the Code may likewise be downloaded from the Company website.

 

The Code is not intended to be all inclusive and cannot address every situation you may face. Should you ever feel uncomfortable about a situation or have any doubts about whether it is consistent with our ethical standards or applicable laws, we encourage you to contact your Responsible Manager and/or the Human Resources Department Manager.

 

All directors, officers, and employees are obliged to inform their supervisors and/or the Human Resources Department Manager of any possible breaches of this Code.

 

The Code is administered by the Human Resources Department Manager and will be reviewed by the Corporate Compliance Committee on a quarterly basis. The Company reserves the right to unilaterally revise, suspend, revoke, terminate or change any of its policies, in whole or in part, whether described in this Code or elsewhere, in its sole discretion. Management shall exert all efforts to keep the employees informed of the Company’s policies.

 

This Code is effective as of January 1, 2016.
